1. Who we are
Noteline is operated by Foo AI Corp., a company based in South Korea ("we", "us"). These Terms are an agreement between you and Foo AI Corp. Questions: contact@noteline.io.
2. What Noteline is
Noteline is a note-taking app. It stores your notes as plain Markdown (.md) files on your device and converts them to Word, PDF, and other formats — on your device, offline. There are no accounts. The desktop app comes with a free 30-day trial; continued use requires a one-time license. Our Privacy Policy explains how we handle data (short version: your notes never reach us).
When the Noteline apps for iOS and Android ship, they will be distributed free through the App Store and Google Play, and your use of them will additionally be governed by those stores' terms. The one-time license described below applies to the desktop app.
3. Your license to use Noteline
We give you a personal, non-exclusive, non-transferable license to use the Noteline apps under these Terms. The software (not your notes) belongs to us. Don't copy, modify, or reverse-engineer it, except where the law allows it.
4. Trial and purchase
The desktop app is free to use for 30 days. After the trial, keeping full use of the app requires a one-time license. The price (plus applicable taxes) is shown clearly before you pay. There is no subscription and nothing renews.
One license covers you as a person, on up to 5 active devices — you can deactivate a device anytime to free a slot. Your license includes updates to the app. If we ever introduce a separately paid major upgrade, the version you bought keeps working.
If you are a consumer, you keep any refund and withdrawal rights your local law gives you — for example, statutory withdrawal periods in South Korea and the EU. Nothing in these Terms takes those away.
5. Your license key
Your license key is for you. Don't publish it or resell it. We may invalidate keys that are leaked publicly, resold, or obtained through payment fraud — and if we invalidate your key through no fault of yours, we will replace it.
6. Your content
Your notes are yours. We claim no ownership of anything you create. Notes live as plain files on your device — we never receive them.
7. Acceptable use
You agree not to:
- use Noteline for anything illegal;
- probe, attack, or overload the infrastructure that serves our website, downloads, or updates;
- resell or sublicense the software without our written consent.
8. Your notes stay yours — always
You can stop using Noteline at any time, and your files stay on your device — they are plain Markdown and need nothing from us. If your trial ends or a license is invalidated, your files remain exactly where they are, readable by any editor.
9. App changes
We may change or discontinue features as the product evolves. The version you have installed keeps working — updates are never forced. If we discontinue the product entirely, your installed app and your files keep working without us.
10. Disclaimers
We work hard to keep Noteline reliable, but the software is provided "as is", to the extent permitted by law. We don't promise it will be uninterrupted or error-free. Please keep backups — your notes are plain files you can copy anywhere.
Nothing in this section limits warranties or rights that cannot be limited under the law that applies to you.
11. Limitation of liability
To the extent permitted by law, we are not liable for indirect losses (such as lost profits), and our total liability for claims relating to the software is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD 50.
These limits do not apply to liability that the law does not allow us to limit — including liability for our intentional misconduct or gross negligence.
12. Changes to these Terms
We may update these Terms. Material changes will be posted here (and noted in the app where relevant) at least 30 days before they take effect. Minor changes take effect when posted with a new "Last updated" date. If you don't agree with a change, you can stop using the software.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Korea, and disputes will be handled by the competent courts in Seoul, Republic of Korea. If you are a consumer, you also keep the protections of the mandatory laws of the country where you live, and you may bring disputes in your local courts where that law gives you the right. If something goes wrong, please email us first — most issues are fixable.
14. Miscellaneous
If part of these Terms turns out to be unenforceable, the rest still applies. If we don't enforce a part of these Terms right away, we are not giving it up.
